SpecWise Terms of Service

Effective date: October 22, 2026

These Terms of Service ("Terms") govern your use of getspecwise.com, its free tools, and any report you buy from us (together, the "Service"), provided by YYYY2 Corp., a Delaware corporation headquartered in Washington ("SpecWise," "we," "us"). By using the Service or placing an order, you agree to these Terms. If you agree on behalf of a company, you confirm you have authority to bind it, and "you" means that company.

1. What SpecWise is

SpecWise prepares one-time written assessments ("Reports") of whether a role, as described in the job spec and answers you provide, should be classified as an employee (W-2) or an independent contractor (1099) where the work is performed. The website also offers a free preliminary read and a sample report.

2. Not legal or tax advice

SpecWise is not a law firm or an accounting firm, and the Service is not legal, tax or accounting advice. Using the Service does not create an attorney-client, accountant-client or other professional relationship. Reports are informational, depend entirely on the accuracy and completeness of what you tell us, and reflect our understanding of the rules on the date the Report is prepared. Laws and their interpretation change and vary by jurisdiction, and government agencies and courts may reach different conclusions. You are responsible for your classification decisions. For borderline or high-stakes decisions, consult a qualified employment attorney or tax professional.

3. Eligibility

You must be at least 18 years old and use the Service for business purposes. The Service covers work performed in the United States.

4. Reports, pricing and delivery

  • A Report costs $200 per job spec, plus any applicable taxes. It is a one-time purchase, not a subscription. The price shown on the website at the time of purchase applies.
  • We email the Report to the address you give us at checkout. If something in your job spec is unclear, we may contact you before finishing it.
  • Each Report covers one role as described on the date you submitted it. If the duties, hours, pay, tools or location change, the assessment may change, and you will need a new Report.
  • Refunds: We do not offer refunds, but if you have a concern with our product or service, let us know and we'll do our best to make it right.
  • Payments are processed by Stripe. We do not store your full card number.

5. Free tools and the sample report

  • The free preliminary read and the liability estimate on our website are automated, based only on the few answers you give, and are illustrative. They are not Reports.
  • If you give us your email address to download the sample report, we will email you the sample and occasional updates about SpecWise. You can unsubscribe at any time using the link in any of those emails.

6. Your information and responsibilities

  • Give us accurate, complete and current information about the role.
  • Submit only information you have the right to share, including information about workers, and follow the laws that apply to it.
  • Do not submit Social Security numbers, bank or card numbers, medical information or other sensitive personal information that a classification assessment does not need.

7. Using your Report

Once you have paid, you may use your Report for your internal business purposes and share it with your advisors, auditors, insurers, lenders and prospective acquirers. You may not resell Reports or present them as legal advice or as the opinion of a licensed professional.

8. Acceptable use

Do not use the Service unlawfully; interfere with it or access it without authorization; scrape, copy or reverse engineer it; or use it to build a competing product.

9. Our intellectual property

The Service, website, software, report format and content belong to us or our licensors and are protected by law. You receive only the rights stated in these Terms. If you send us feedback, we may use it without any obligation to you.

10. Third-party services

The Service relies on third parties, such as payment processing and email delivery. Their services are governed by their own terms, and we are not responsible for them.

11. Disclaimers

THE SERVICE AND REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY ASSESSMENT WILL BE ACCEPTED BY THE IRS, THE U.S. DEPARTMENT OF LABOR, ANY STATE AGENCY OR ANY COURT, OR THAT USING THE SERVICE WILL PREVENT TAXES, PENALTIES, CLAIMS OR OTHER LIABILITY. ESTIMATES ON OUR WEBSITE ARE ILLUSTRATIVE ONLY.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE OR DATA; OR TAXES, PENALTIES, INTEREST, WAGES, BENEFITS OR OTHER AMOUNTS YOU OWE TO ANY GOVERNMENT OR WORKER, EVEN IF WE WERE ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR THE REPORT THE CLAIM RELATES TO, OR $100 IF THE CLAIM DOES NOT RELATE TO A PAID REPORT.

13. Indemnity

You will defend and indemnify us against third-party claims, including claims by workers or government agencies, arising from your classification decisions, the information you submit, or your breach of these Terms.

14. Refusing or canceling orders

We may decline or cancel an order, for example if we cannot assess the role from the information provided. If we cancel an order before delivering the Report, we will refund what you paid for it.

15. Governing law and disputes

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law rules. Any dispute will be resolved only in the state or federal courts located in King County, Washington, and both parties consent to those courts' jurisdiction.

16. Changes and general terms

We may update these Terms by posting a new version with a new effective date. The version in effect when you place an order applies to that order. If any provision is unenforceable, the rest stays in effect. These Terms are the entire agreement about the Service, and you may not assign them without our written consent.
